Terms of Use

1. The service

bITsMenu provides tools for creating, uploading, organizing, and displaying digital menu and signage content on compatible devices. Features may include bITsMenu Control, Android TV or Google TV Player software, cloud storage, playlist management, device activation, account administration, and subscription billing.

2. Business accounts

You must provide accurate account information and use bITsMenu only for lawful business or organizational purposes. You are responsible for all activity under your account and for controlling access by your employees, contractors, or other authorized users.

3. Trial and subscriptions

Eligible new accounts may receive a 30-day trial. Unless a different offer is expressly shown at checkout, the standard plan is currently structured as a monthly administration fee plus a monthly fee for each active display. Prices, taxes, and plan details shown in bITsMenu Control or at checkout control over general descriptions in these Terms.

A paid subscription may renew automatically until canceled. Subscription management and payments may be processed through Stripe. You authorize us and our payment processor to charge applicable recurring fees to the payment method you provide. We may suspend playback or administrative features when a trial expires or an account is past due.

4. Customer content

You retain ownership of content you upload. You grant bITs Tech Solutions a limited, non-exclusive license to host, copy, transcode where necessary, cache, transmit, and display that content solely as needed to operate bITsMenu.

You represent that you have the rights needed to upload and display your content. You may not upload or display unlawful, infringing, deceptive, malicious, obscene, or otherwise prohibited material, or content that violates privacy, publicity, intellectual-property, or contractual rights.

5. Acceptable use

• Do not attempt to bypass authentication, account isolation, display activation, subscription enforcement, or security controls.
• Do not interfere with, overload, probe, reverse engineer, or misuse the service except where applicable law expressly permits it.
• Do not use bITsMenu to distribute malware, illegal content, fraudulent offers, or content designed to harm people or systems.
• Do not resell or sublicense the service unless bITs Tech Solutions has agreed in writing.

6. Player software and devices

The bITsMenu Player is licensed, not sold. It may use local storage to cache content for reliable playback. Device compatibility, network availability, TV manufacturer behavior, operating-system changes, and third-party hardware can affect performance. You are responsible for compatible hardware, internet connectivity, physical installation, and safe operation of displays.

7. Availability and changes

We aim to provide reliable service, but uninterrupted availability is not guaranteed. We may maintain, modify, add, remove, or replace features to improve security, performance, compatibility, or the product experience. We may also impose reasonable technical limits on file sizes, storage, bandwidth, or device usage.

8. Intellectual property

bITsMenu software, interfaces, branding, documentation, databases, code, and service design are owned by bITs Tech Solutions or its licensors and are protected by applicable law. Except for the limited right to use the service under these Terms, no ownership rights are transferred to you.

9. Suspension and termination

We may suspend or terminate access for nonpayment, material breach, unlawful use, security threats, abuse, or conduct that could harm the service or others. You may stop using the service and cancel a paid subscription through the available billing tools. Account termination does not eliminate charges already incurred or obligations that by their nature should survive termination.

10. Disclaimers

To the maximum extent permitted by law, bITsMenu is provided “as is” and “as available.” bITs Tech Solutions disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, bITs Tech Solutions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost sales, business interruption, lost data, or loss arising from display downtime or customer content. Our aggregate liability relating to the service will not exceed the fees paid by you to bITs Tech Solutions for bITsMenu during the 12 months immediately before the event giving rise to the claim.

12. Indemnification

You agree to defend and indemnify bITs Tech Solutions from third-party claims arising from your content, your misuse of the service, or your violation of these Terms or applicable law, to the extent permitted by law.

13. Privacy

Our Privacy Policy describes how information is handled in connection with bITsMenu and is incorporated into these Terms by reference.

14. Governing law

These Terms are governed by the laws applicable to bITs Tech Solutions in the United States, without regard to conflict-of-law rules. Any mandatory consumer or statutory rights that cannot lawfully be waived remain unaffected.

15. Changes to these Terms

We may update these Terms as bITsMenu evolves. Material changes will be posted in bITsMenu Control or otherwise communicated when appropriate. Continued use after an updated effective date constitutes acceptance where permitted by law.
